TERMS AND CONDITIONS FOR KHETHIWE RECORDS

Introduction
These terms and conditions (the “Agreement”) govern your relationship with Khethiwe Records, a start-up record label based in South Africa (the “Label” or “we”). By submitting your demo, entering into a recording agreement, or otherwise engaging with us in any way, you agree to be bound by the terms and conditions set out below.

Submission of Demos
You may submit a demo recording to us in the form of a sound recording or other format as specified by the Label. All demos submitted become the property of the Label, and we reserve the right to use or not use the demos at our discretion. By submitting a demo, you warrant that you are the owner of the copyright in the demo or have obtained all necessary permissions and licenses from the copyright owner(s) to submit the demo to the Label.

Recording Agreement
If we are interested in your music, we may offer you a recording agreement. The terms and conditions of the recording agreement will be negotiated on a case-by-case basis and will be set out in a separate agreement.

Intellectual Property Rights
You acknowledge and agree that a portion of intellectual property rights in the music you create and any other works created in connection with the recording agreement or your engagement with the Label shall be owned by the Label as per the split agreement of the contract.

Payment
If you are party to a recording agreement with the Label, the Label shall pay you any royalties or other payments due to you as set out in the agreement. Any such payments shall be subject to deduction of any applicable taxes and other charges as required by law.

Termination
Only Khethiwe records may terminate the recording agreement upon written notice to the other party in the event of a material breach of the agreement by the other party. In the event of termination, any amounts owed by the Label to you shall be paid within 30-90 days of termination, any amounts owed by you to the label shall be paid within 30-90 days of termination

Governing Law
This Agreement shall be governed by and construed in accordance with the laws of South Africa. Any disputes arising out of or in connection with this Agreement shall be subject to the exclusive jurisdiction of the courts of South Africa.

Changes to the Agreement
The Label may revise this Agreement from time to time without prior notice. By continuing to engage with us after such changes, you agree to be bound by the revised Agreement.

Entire Agreement
This Agreement constitutes the entire agreement between you and the Label and supersedes all prior negotiations, understandings, and agreements between the parties.
